THESE ASTRO REWARDS® CARD LINKED OFFER SERVICE TERMS AND CONDITIONS ("TERMS") SUPPLEMENT AND ARE SUBJECT TO THE ASTRO REWARDS® TERMS AND CONDITIONS, WHICH INCLUDE, WITHOUT LIMITATION, PROVISIONS FOR THE INDIVIDUAL ARBITRATION OF ANY DISPUTES AND WAIVER OF CLASS ACTIONS.
Astro Financial, Inc. ("we", "us", "our" or "Astro") and its affiliates offer various services (each a “Card Linked Offer Service”) which enable you to enroll an Eligible Payment Card (as defined below) in order to earn rewards or benefits when you make Qualifying Purchases (as defined below) at participating merchants (a “Card Linked Offer”). These Terms are further subject to the Astro Rewards® Terms and Conditions and our Privacy Policy. In the event of a conflict between these Terms on the one hand and the Astro Rewards® Terms and Conditions or Privacy Policy on the other hand, these Terms shall prevail in connection with terms that are unique to our Card Linked Offer Service while the Astro Rewards® Terms and Conditions and Privacy Policy shall prevail in all other respects in connection with your participation in our Card Linked Offer Service and other services.
By enrolling an Eligible Payment Card in a Card Linked Offer Service, you accept these Terms. Enrollment in a Card Linked Offer Service is limited to individuals who are 13 years of age or older. We may add to, change, or remove any part of these Terms from time to time. If we change any material Terms that would have a material adverse effect on your rights as they are presented to you in these Terms, we will make reasonable efforts to notify you via email, online, or through other reasonable electronic means. Your continued participation in a Card Linked Offer Service, including receiving benefits and rewards when you make a Qualifying Purchase at participating Merchants, constitutes your acceptance of any changes to these Terms. Subject to these Terms, we grant you a limited, non-exclusive, and revocable license to access and use our Card Linked Offer Service.
We currently use Fidel and the card networks (Visa, Mastercard, and American Express) to monitor card transactions for your participation in the Cashback Inc program. Your agreement to the various Cashback Inc Terms of Service (TOS) authorize Fidel and the card networks to monitor the transactions made with your registered eligible payment cards at participating Astro merchants to confirm qualified transactions. The data collected from Fidel includes your registered card identifier, merchant location, transaction date/time and amount.
To receive benefits and rewards through a Card Linked Offer Service, you must enroll a valid, eligible payment card with the Card Linked Offer Service (an “Eligible Payment Card” and, once registered, a “Linked Card”). You must be the cardholder on the account or an authorized user of the Linked Card to claim or redeem a Card Linked Offer. If a Linked Card is no longer valid or is lost or stolen, or if you receive a replacement card with a different account number or expiration date, you must log into your Astro Account and add or update the Linked Card details on file in order to receive rewards in connection with any Card Linked Offers.
You may remove your Linked Card(s) from our Card Linked Offer Service at any time by visiting our mobile app. When you do so, we will no longer receive Transaction Data (defined below) associated with your Linked Card, but we will retain historical Transaction Data to track rewards and benefits due under each Card Linked Offer Service and for account management and customer service purposes. "Transaction Data" shall mean, but not be limited to, merchant name, merchant location or other store identifier, transaction date, transaction amount, the last four digits of your Linked Card(s) and any other information relating to purchases with your Linked Card(s).
A Card Linked Offer is an offer that you initiate by registering an Eligible Payment Card with Astro in connection with such offer, and then making a Qualifying Purchase from a participating merchant. Some Card Linked Offers may be from another provider of card linked offers and related services (an “Offer Partner”). If you want to use those offers, we may need to share your Linked Card number with the applicable Offer Partner. By registering your Eligible Payment Card within the Card Linked Offer Service, you accept these Terms, and agree that Astro may share your Linked Card number with Offer Partners if you add their Card Linked Offers to your Linked Card, that the Payment Services Provider (as defined below) may examine the transactions (including returns) on your Linked Card at participating merchants through the Card Linked Offer, and the Payment Services Provider may share details of those transactions, including transaction date, time and amount, with Astro and our CLO Providers (as defined below). Astro and our CLO Providers will use this information solely as set forth in the Section entitled “Card Linked Offers and Your Data” below.
Card Linked Offers may be made available through our mobile app or through other methods. Card Linked Offers are also subject to our Privacy Policy. “CLO Providers” mean Offer Partners, publishers and other distributers of our Card Linked Offers, and other third parties that enable us to bring you Card Linked Offers and provide our Card Linked Offer Service.
You are eligible to earn rewards when you use a Linked Card to make a Qualifying Purchase. A “Qualifying Purchase” is a purchase from the participating merchant using a Linked Card that satisfies the terms associated with a Card Linked Offer and these Terms. We reserve the right to determine whether any given transaction is a Qualifying Purchase.
Your Qualifying Purchase(s) will be monitored by the applicable Linked Card issuer, Payment Card Network or a third party authorized by the Linked Card issuer or Payment Card Network (“Payment Services Provider”). Astro or the Offer Partners will notify the applicable Payment Services Provider when you have activated a Card Linked Offer, and you hereby authorize Astro and Offer Partners to provide such notifications to the Payment Services Provider. The Payment Services Providers provide Astro and Offer Partners with your transactions when their systems detect a transaction that may be a Qualifying Purchase. By activating a Card Linked Offer, you agree that the Payment Services Provider can monitor your Linked Card transactions to identify Qualifying Purchases to apply towards your completion of a Linked Card Offer, and you consent to the Payment Services Provider providing such Qualifying Purchase information to Astro, the applicable merchant and the applicable Offer Partner.
Not all payment cards are eligible for Card Linked Offers, and not all transactions with your Linked Card(s) can be monitored by the applicable Payment Services Provider.
By registering a payment card in connection with transaction monitoring, you authorize Astro Rewards to share your payment card information with Visa, Mastercard and AMEX (Payment Networks) so it knows you enrolled. You authorize Mastercard, Visa and AMEX to monitor transactions on your registered card(s) to identify qualifying purchases in order to determine whether you have qualified for or earned an offer linked to your payment card, and for Visa, Mastercard and AMEX (Payment Networks) to share such transaction details with Astro Rewards and participating merchants to enable your card-linked offer(s) and provide offers that may be of interest to you. You may opt-out of transaction monitoring on the payment card(s) you have registered by navigating to your settings menu to remove your linked card(s).
Each Card Linked Offer Service is limited to Linked Card transactions that are processed through the Payment Card Networks. If a Linked Card transaction is processed outside of the Mastercard network with which we are integrated, we may not receive the Transaction Data, in which case, we will not be able to match it with an offer. Payment cards that are not eligible for use with our Card Linked Offer Service may include, without limitation, corporate and purchasing cards, Health Savings Account (HSA) cards, Flexible Spending Account (FSA) cards, government-administered prepaid cards (including EBT cards), insurance prepaid cards and Visa Buxx.
You acknowledge that Visa, Mastercard and AMEX may be unable to monitor every transaction made with your enrolled Visa, Mastercard and AMEX including PIN-based purchases on debit cards, purchases you initiate through identification technology that substitutes for a PIN, or transactions that are not processed or submitted through the Visa U.S.A. or MasterCard, AMEX payment systems, and that these transactions are not eligible. You may opt-out of this monitoring at any time by selecting ‘Account’ from the home screen of your Astro Rewards and deleting your registered card(s). If you register a debit card, your transaction must be processed as a ‘credit’ (i.e., signature) transaction to make sure the transaction can be monitored. Do not use a Personal Identification Number (PIN) when paying for your purchases with your enrolled card if you want the transaction to be available for view or action on the Astro Rewards App.
Not all merchant locations or transactions with your Linked Card may be eligible for benefits and rewards, including PIN-based purchases, payments made through some third-party digital wallets or payment apps (for example, purchases made through PayPal will not be eligible for benefits or rewards), and other transactions not processed through the Payment Card Network’s own system.
The rewards for which you are eligible may vary depending on a variety of factors, such as the participating Merchant and your level of activity within the Card Linked Offer Service. You may be eligible for rewards and offers that are not available to others, and other rewards and benefits may not be available to you. Information on the type, amount, limits, and other conditions on rewards and benefits available to you, as well as current participating Merchants, are available by signing in to your Astro Account with your unique login. You are responsible for reviewing this information before you make a purchase at a participating Merchant, as these details may change from time to time and may affect the rewards and offers you receive.
In some cases, a participating Merchant’s payment card processor may experience a lag time between when a credit card is enrolled and when the payment card processor is able to identify and provide us with the Transaction Data associated with the card.
Card Linked Offers take various forms as described in our Card Linked Offer Service, which may change from time to time. Some offers require you to “claim” a specific Merchant offer (which action may be referred to, alternatively, as “unlock”, “activate”, “get”, “access”, “add to card” or other similar term), and in some cases, you may be enrolled in offers that are valid across multiple Merchants without needing to claim an offer at each individual merchant. We or any of our CLO Providers (as applicable) may, in our/their sole discretion, extend the redemption period for certain Card Linked Offers or automatically re-claim Card Linked Offers on your behalf on a rolling basis.
The grant of any benefits or rewards upon completing a Linked Card transaction will be governed by these Terms and the Astro Rewards® Terms and Conditions, and any decision we or our CLO Providers make regarding the same shall be final and binding.
Notwithstanding anything else in these Terms or our Privacy Policy, your card information and the transaction data provided by the Payment Services Provider may be used solely to enable your participation in the Card Linked Offer program and for no other purpose.Specifically:
We or our CLO Providers will communicate with you in connection with your participation in the Card Linked Offers program. For example, Astro will notify you by email or text message depending on your preferences when you have successfully activated a Card Linked Offer and may notify you when a Card Linked Offer is completed or about to expire. You consent to any such communications by participating in the Card Linked Offer Service.
By activating a Card Linked Offer, you agree to the terms, restrictions, and conditions associated with such Card Linked Offer. We reserve the right to terminate a Card Linked Offer or the Card Linked Offer Service or change the type of reward associated with a Card Linked Offer at any time. You agree that Astro, CLO Providers and Payment Services Providers shall not be liable to you or to any third party for any suspension, modification or termination of the Card Linked Offer Service. We also reserve the right to require that you provide a receipt of your purchase from the merchant for any Qualifying Purchase in order to receive your reward for completing the Card Linked Offer. Receipts submitted more than forty-five (45) days after the Card Linked Offer was completed will not be considered. We may choose to retain records of completed transactions, acknowledgements, acceptances and other contract and transaction records. We may be able to provide you with copies of these on written request; however, you must make sure you print a copy of all such documents and documents contained or referenced these Terms for your own records.
You agree to comply with any and all applicable tax laws applying to you, including the reporting and payment of any taxes arising in connection with the Card Linked Offers or rewards, and that the reporting and payment of any such applicable taxes are your responsibility.
Unless otherwise stated in these Terms or required by law, there is no cash value for any reward associated with a Card Linked Offer. Astro, CLO Providers and Payment Services Providers do not endorse or sponsor, or are responsible for: (a) the offers, goods or services displayed, purchased or paid for in connection with a Card Linked Offer; (b) honoring or fulfilling the offers provided to you through a Card Linked Offer; or (c) the Merchants whose offers, rewards, or services are promoted in connection with a Card Linked Offer.
You may not complete a Card Linked Offer with the intent to immediately cancel or return the reward from the merchant. A “quick cancellation” is considered to be fraudulent and may void your transaction. Astro may, at its discretion, suspend or revoke your right to use the Card Linked Offer Service, terminate your Astro Account, and/or report your activity to the Merchant, Offer Partner, and/or website or service that has referred you to Astro, who each may terminate your account or take other punitive action if you are found to have engaged in such activity.
We and our CLO Providers may cooperate with government and law enforcement officials and private parties to enforce and comply with the law. We and our CLO Providers may disclose any information about you and your participation in our Card Linked Offer Service to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of ourselves or our CLO Providers or a third party, to protect the safety of the public or any person, or to prevent or stop activity we may consider to be, or to pose a risk of being, unauthorized, abusive, illegal, unethical or legally actionable activity.
Our Card Linked Offer Service is being provided to you “as is” with no warranty. To the maximum extent permitted by applicable law, we and our CLO Providers disclaim all representations and warranties, express or implied, with respect to our Card Linked Offer Service or any aspect or feature thereof, including Card Linked Offers.
THE SITES, SERVICES, INFORMATION, DATA, FEATURES, AND ALL CONTENT AND ALL SERVICES AND PRODUCTS ASSOCIATED WITH THE SERVICES OR PROVIDED THROUGH THE SERVICES (WHETHER OR NOT SPONSORED) ARE PROVIDED TO YOU ON AN “AS-IS” AND “AS AVAILABLE” BASIS. ASTRO, THE PAYMENT CARD NETWORKS, AFFILIATES, AND THIRD PARTY PROVIDERS, LICENSORS, DISTRIBUTORS, OR SUPPLIERS (COLLECTIVELY, "SUPPLIERS ") MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE CONTENT OR OPERATION OF THE SITE OR OF THE SERVICES. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. NEITHER ASTRO, THE PAYMENT CARD NETWORKS, OR SUPPLIERS MAKE ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY OR COMPLETENESS OF THE CONTENT ON THE SITES OR OF THE SERVICES (WHETHER OR NOT SPONSORED), AND EXPRESSLY DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER ASTRO, THE PAYMENT CARD NETWORKS, OR SUPPLIERS MAKE ANY REPRESENTATION, WARRANTY OR GUARANTEE THAT THE CONTENT THAT MAY BE AVAILABLE THROUGH THE SERVICES IS FREE OF INFECTION FROM ANY VIRUSES OR OTHER CODE OR COMPUTER PROGRAMMING ROUTINES THAT CONTAIN CONTAMINATING OR DESTRUCTIVE PROPERTIES OR THAT ARE INTENDED TO DAMAGE, SURREPTITIOUSLY INTERCEPT OR EXPROPRIATE ANY SYSTEM, DATA OR PERSONAL INFORMATION.
NEITHER ASTRO, THE PAYMENT CARD NETWORKS, OR SUPPLIERS SHALL IN ANY EVENT BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, ARISING IN WHOLE OR IN PART FROM YOUR ACCESS TO THE SITES, YOUR USE OF THE SERVICES, THE SITES OR THIS AGREEMENT, EVEN IF ASTRO REWARDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, ASTRO’S LIABILITY TO YOU FOR ANY CAUSE WHATEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED.
Without limiting any disclaimers or other limitations of liability set forth in the Astro Rewards® Terms and Conditions or these Terms, to the extent allowed by applicable law, we and our CLO Providers hereby disclaim any liability to you in connection with your enrollment in our Card Linked Offer Service, or the claim or redemption of any Card Linked Offer or the associated benefits or rewards. This includes, without limitation, any goods or services sold in connection with a Card Linked Offer, honoring or fulfilling (or failing to honor or fulfill) a Card Linked Offer, the merchant whose goods or services are the subject of a Card Linked Offer, or any failure to provide any notifications or engage in any monitoring described herein, to credit the benefits or rewards for a Qualifying Purchase, or to provide any notices or updates about our Card Linked Offer Service or any Card Linked Offer.
You agree that, to the fullest extent allowed by applicable law, neither we nor our CLO Providers, Payment Service Providers and our respective affiliates, licensors and suppliers are responsible or liable for the availability, accuracy, content, reliability or advertising of the merchandise or services of participating merchants.
You agree to indemnify and hold harmless us and our CLO Providers, and our and their respective parents, subsidiaries, affiliates, partners, officers, directors, employees and agents from any claim or demand, including reasonable attorney's fees, made by any party due to or arising out of your use or misuse of the Card Linked Offer Service or any violation of these Terms. You shall defend, indemnify and hold harmless Astro and its officers, directors, shareholders, employees, the Payment Card Networks, Service Provider (Fidel), and suppliers from and against all claims, suits, proceedings, losses, liabilities, and expenses, whether in tort, contract, or otherwise, that arise out of or relate, including but not limited to attorney’s fees, in whole or in part arising out of or attributable to any breach of this Agreement or any activity by you in relation to the Sites or your use of the Services.
We and our CLO Partners reserve the right, at any time, to modify, suspend, or discontinue offering any aspect or feature of our Card Linked Offer Service or any Card Linked Offer in our sole discretion, with or without notice. If you are dissatisfied with any aspect of our Card Linked Offer Service at any time, your sole and exclusive remedy is to cease using the Card Linked Offer Service. You agree that neither we, nor our CLO Providers will be liable to you or to any third party for any modification, suspension, or termination of any aspect or feature of our Card Linked Offer Service.
Any failure to comply with these Terms, any fraud or abuse (including use of any script or disguised redirect) relating to a Card Linked Offer or the accrual or receipt of associated benefits and rewards, use of any script or disguised redirect) or any misrepresentation of any information furnished to us or our CLO Providers by you or anyone acting on your behalf may result in the termination of your enrollment in our Card Linked Offer Service and forfeiture of your benefits and rewards.
You agree that we may communicate with you by means of electronic communications regarding these Terms, our Card Linked Offer Service, Linked Card information, and any other matter relating to your use of our Card Linked Offer Service.
You understand and agree that each of our CLO Providers, and each of their respective affiliates, is an intended third-party beneficiary of the Astro Rewards® Terms and Conditions and these Terms, and each such party shall be entitled to enforce the provisions of the Astro Rewards® Terms and Conditions and these Terms in its own right. Without limiting the generality of the foregoing, you acknowledge and agree that any and all disputes between you and us and/or any of our CLO Providers or their affiliates or third parties will be resolved in accordance with the arbitration procedures described in the Astro Rewards® Terms and Conditions.
If any provision of these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. Astro's failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right.
